MEMORANDUM FOR HIS EXCELLENCY:
For the purpose of coordinating all
legal work of all Government – Owned and Controlled Business Enterprises, it is
recommended that a Corporate Counsel Division be created under the Department
of Justice, having full control and supervision over all legal division
maintained separately by each entity which should take charge of purely routine
matters. The Corporate Counsel Division
should also assist the Secretary of Justice in his work as Ex – Officio legal
adviser of said companies.
For regular business matters of
importance and court work, the Corporate Counsel Division should engage proper
private counsel with general court practice on a retainer basis, plus the fees
to be agreed upon on cases taken to court.
The
following are the entities which should contribute:

Manila
Railroad Company
3.
Postal
Savings Bank
4.
Pension
Investment Board
5.
National
Development Company (
Cebu
Portland Cement)
6.
Manila
Hotel Company
7.
Metropolitan
Water District
It is estimated that fixed charges
for the creation of this Division will not exceed P60,000.00. This includes the retaining fee of private
counsel but not the extra fee for court work.
The
contributions should be in proportion to the importance of each enterprise and
the volume of work of each, and may be tentatively fixed as follows:

Savings Bank 10%
4.
Pension
Investment Board 10%
5.
Manila
Hotel Company 7-1/2%
6.
National
Development Company 7-1/2%
7.
Metropolitan

Approval of the above arrangement is respectively requested.
